Direct answer
Can a foreign investor set up a company in Argentina?
Yes. Foreign individuals and companies can be shareholders of Argentine companies, most commonly a Sociedad Anónima (S.A.) or a Sociedad de Responsabilidad Limitada (S.R.L.) under General Companies Law 19.550, or a Sociedad por Acciones Simplificada (S.A.S.) under Law 27.349. Foreign shareholders must comply with registration, documentation and representation requirements, and the right vehicle depends on the project.
Key facts
- 01The S.A. and S.R.L. are governed by General Companies Law 19.550; the S.A.S. by Law 27.349.
- 02Foreign corporate shareholders generally need to register with the competent Argentine registry before participating in a local company.
- 03Foreign documents used for incorporation generally require apostille or legalisation and certified translation.
- 04Company formation is legally distinct from citizenship by investment, though the two can be planned together.
Choosing a vehicle
The S.A. (sociedad anónima) is the usual vehicle for larger projects and for companies expecting to bring in further investors; its capital is represented by shares. The S.R.L. (sociedad de responsabilidad limitada) is a common choice for closely held businesses, with capital divided into quotas and a simpler governance structure. The S.A.S. (sociedad por acciones simplificada) offers a more flexible, simplified regime.
The choice depends on the number and nature of shareholders, governance needs, the regulator involved, plans for future investment or exit, and the practical requirements of the jurisdiction where the company will be registered. We analyse those factors before recommending a structure.
What we handle

- Ongoing corporate compliance and documentation

Company formation and citizenship by investment
Incorporating a company does not in itself qualify as an investment under the citizenship by investment program unless the applicable rules provide so. However, for clients who intend to develop activities in Argentina, the corporate project and the citizenship file can be planned together, so that documents, funds and timing are consistent. See Argentina CBI and corporate structuring.
Frequently asked questions
Do I need to travel to Argentina to incorporate a company?
In many cases the process can be handled through powers of attorney granted abroad and duly apostilled or legalised. Specific requirements depend on the registry and the vehicle.
Which is better for a foreign investor, S.A. or S.R.L.?
Neither is better in the abstract. The S.A. suits larger or multi-investor projects; the S.R.L. suits closely held businesses. The decision should follow an analysis of the project, governance and future plans.
Can an Argentine attorney help establish a company and also handle contracts?
Yes. We advise on incorporation and continue with contracts, shareholder matters and compliance once the company is operating.
